Gerard LeCain

Gerard LeCain is a Solicitor in the Company Commercial Department, advising businesses, shareholders, investors and entrepreneurs on corporate and commercial matters. His practice covers acquisitions and disposals, joint ventures, corporate restructuring, commercial contracts and corporate governance, with experience in international and multi-jurisdictional transactions. Gerard regularly advises UK and overseas businesses on their UK endeavours as they navigate growth, restructuring or strategic change. His work includes a multi-jurisdictional corporate acquisition valued at £18m, a multi-jurisdictional restructuring for a UK subsidiary of a global company, a £50m asset refinance, acting for a sovereign wealth investment arm on its UK activities, a £30m investment in UK real estate by an overseas family office, management buy-outs and share buybacks, and a range of company acquisitions, disposals and shareholder arrangements. He advises on share purchase agreements, joint ventures, commercial contracts, shareholders' agreements and bespoke articles of association, as well as onshoring and group restructuring. Gerard originally specialised in Corporate and Commercial Real Estate, giving him additional expertise in commercial property transactions, including the acquisition and sale of businesses, property finance and refinancing, and retail leases for both landlords and tenants. This combination of corporate and property experience gives him a broad understanding of the issues that can affect a business and its owners. Gerard values working with small and medium-sized businesses, entrepreneurs and owner-managed companies. Gerard studied Anglo-Saxon History at St Edmund's College (University of Cambridge), Legal and Political Philosophy at University College (University of London), and obtained a First-Class Honours degree in Law from Birkbeck College (University of London). Outside the law, Gerard enjoys family life, travelling and playing music. He is currently learning Japanese and studying Christian theology, reflecting his wider interests in history, culture, philosophy and ideas.
