Employee shares and share schemes cover the ways a employer can grant or reward staff with shares, options or other equity rewards. A solicitor in this area advises on the design, eligibility, tax implications and administration of schemes such as share options and tax-advantaged plans like EMI. They draft the scheme rules, option grant letters, and all official documentation, review employment contracts and post-termination restrictions, and help ensure the scheme complies with corporate governance, company law and HMRC rules. The work may involve negotiating with trustees, handling amendments to plans, and advising on dispersal or exercise of options.
