On the basis of the information provided and on the understanding that the consideration paid for the shares is their market value I am willing to agree that the gifts made to the EOT Trustee should not be charged under section 464A CTA10 (charge to tax arrangements conferring benefit on participator). I note that the gifts to the EOT Trustee will enable it to acquire shares in the company, to fund the initial consideration, and any deferred payments of consideration.
