An ordinary partnership is formed when two or more people carry on a business with a view to profit under a common ownership. A solicitor in this area helps set out the terms of the partnership, draft and amend the partnership agreement, and manage disputes about profit shares, decision making, and liability. They may also advise on dissolving or winding up the partnership, and on liability and registration questions where relevant. The work is shaped by the need to prevent and resolve disputes and to keep the business operating smoothly as partners change or terminate.
A solicitor handles the detailed partnership agreement provisions, including profit sharing, oversight and authority, admission and retirement of partners, dissolution, and buy-out rights. They also draft mechanisms to resolve deadlock, manage fiduciary duties, and address liability for partnership debts administered through the firm’s structure, providing clear documentation and governance.

Tagged solicitor Harender Branch
I would most definitely recommend Branch Austin McCormick LLP. All stakeholders were looking at an exit strategy and successful sale of our company. I must say Harender and her team guided us through the process from start to finish and always there to answer any questions and protect our interest from start to finish.

Tagged solicitor Aimee Gaston
Aimee really helped me through the process of our Shareholders Agreement and Articles, Aimee was very patient and kept reminding me where I had got to and what needed finalising, very patient and no judgement on my inability to focus on this level of detail.

Tagged solicitor Keith Melling
Keith Melling and his team have provided invaluable guidance to Next Generation Travel on a wide range of matters, from company formation to management share incentive schemes, acquisitions, and complex issues like trademark infringements. Their advice is always clear, comprehensive and tailored to our business needs, allowing us to navigate legal challenges with confidence. We have worked with major Manchester based law firms in the past, but the level of service and expertise we receive from Napthens, under the leadership of Keith, rival those of much larger firms, and at a much more competitive price.

Tagged solicitors Arj Arul and Rachel Chambers
Arj & Rachel spared no effort to help me navigate a really complex issue spanning the Companies Act and Articles of Association. This entailed really extensive reading into an issue that had been unresolved for over a year, and very swiftly the position I could take was defined clearly with full explanations given at all times. I'll will never forget how at one point he responded to developments and provided me with guidance with virtually no notice. If you want really deft handling of a situation with the highest professionalism, you have reached the right place. In every way the service provided was deft, considerate - and altogether outstanding.

Tagged solicitor Andy Herricks
⭐⭐⭐⭐⭐ I instructed Andy to help put proper governance arrangements in place for a long-established family land-holding company. The work involved preparing a Shareholders' Agreement and advising on a number of complex issues around share transfers, succession, minority protection and company governance. Throughout the process, Andy was knowledgeable, responsive and patient in answering what was, at times, a long list of questions. He took the time to explain the legal principles behind the drafting, challenged historic practices where necessary, and helped us reach a practical solution that protects both the company and its shareholders. I particularly appreciated that he welcomed questions and provided clear explanations, enabling us to make informed decisions rather than simply accepting legal wording at face value. We're now in a much stronger governance position than when we started and have a Shareholders' Agreement that is tailored to our company and its future. I'd have no hesitation in recommending Andy and Clough & Willis for corporate and shareholder legal advice.
